Terms & Conditions

1. Participation

The Participant agrees to participate in one or more audio and/or video recordings for The Counsel of Men, including but not limited to podcast episodes, interviews, panel discussions, promotional recordings, and related content ("Recordings").

2. Grant of Rights

The Participant hereby grants to The Counsel of Men an irrevocable, perpetual, worldwide, royalty-free, fully paid, and transferable right and licence to:

  • Record, photograph, film, and otherwise capture your voice, image, likeness, name, statements, biographical information, and performance;
  • Edit, reproduce, distribute, publish, display, transmit, broadcast, livestream, adapt, translate, create derivative works from, and otherwise use the Recordings;
  • Use the Recordings in any media now known or later developed, including but not limited to podcasts, video platforms, social media, websites, marketing, advertising, promotional materials, and archival purposes.

3. Ownership & Intellectual Property

The Participant acknowledges and agrees that The Counsel of Men shall be the sole and exclusive owner of all rights, title, and interest in and to the Recordings, including all intellectual property rights therein. The Participant waives any right to inspect or approve the finished content or the manner in which it is used.

Retention of Pre-Existing Intellectual Property. Notwithstanding the above, The Participant retains all ownership of and rights to your pre-existing intellectual property, including but not limited to any ideas, frameworks, methodologies, concepts, or published works that The Participant references or discusses during the Recordings. The licence granted herein covers only the Recordings themselves and does not transfer or diminish The Participant's rights to the underlying content they bring to the conversation.

4. Compensation

The Participant acknowledges that participation is voluntary and that they will receive no monetary compensation unless otherwise agreed to in writing. The Participant waives any claim to royalties, residuals, or other payments arising from the use of the Recordings.

5. Waiver & Release

The Participant hereby releases and forever discharges The Counsel of Men, its hosts, producers, affiliates, partners, and representatives from any and all claims, demands, causes of action, or liability arising out of or related to:

  • The Recordings or their use;
  • Defamation, invasion of privacy, right of publicity, or misappropriation by third parties;
  • Any editing, distortion, or alteration of the Recordings, whether intentional or otherwise.

Reciprocal Commitment — No Defamatory Editing. In consideration of The Participant's participation, The Counsel of Men commits not to edit, alter, or present the Recordings in a manner that materially misrepresents The Participant's words, statements, or positions, or that is reasonably likely to cause harm to your professional or personal reputation. This commitment does not limit The Counsel of Men’s right to edit for length, clarity, pacing, or production quality.

6. Representations

The Participant represents and warrants that:

  • They are at least 18 years of age;
  • They have the full right and authority to enter into this Agreement;
  • Their participation will not infringe upon the rights of any third party;
  • Any statements The Participant makes are their own and do not violate any confidentiality obligations.

7. No Obligation to Use

The Participant acknowledges that The Counsel of Men is not obligated to use or publish the Recordings and may decide, in its sole discretion, whether and how they are used.

8. Participant’s Right to Clips

Subject to the terms of this Agreement, The Counsel of Men grants The Participant a limited, non-exclusive, royalty-free licence to use short clips from the Recordings (individually, up to three (3) minutes) for their own personal, non-commercial promotional purposes, including but not limited to sharing on their own social media channels, website, or professional profiles. This licence is subject to the following conditions:

  • Clips must credit The Counsel of Men podcast and, where possible, include a link to the episode;
  • Clips may not be used in a manner that is misleading, defamatory, or detrimental to The Counsel of Men;
  • Clips may not be monetised, sold, or used in paid advertising without prior written consent from The Counsel of Men;
  • The Counsel of Men reserves the right to withdraw this licence on written notice if the clips are used in a manner inconsistent with these terms.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction chosen by The Counsel of Men, without regard to conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes any prior discussions or agreements related to the Recordings. It may only be modified in writing.
